These Terms & Conditions ("Terms") govern your access to and use of Markdownify, also marketed as FileToMarkdown (the "Service"). The Service is operated by Matteo Roncaglio, Via Dalmazia 30, 25125 Brescia, Italy — VAT 04259710988 (the "Seller", "we", "us"). By using the Service you are entering into an agreement with the Seller.
1. Acceptance of these Terms
By creating an account, accessing or continuing to use the Service you agree to be bound by these Terms and by our Privacy Notice and Refund Policy. If you do not agree, do not use the Service. You confirm that you are of legal age in your jurisdiction and, if you are using the Service on behalf of an organization, that you have authority to bind that organization to these Terms.
2. The Service
Markdownify converts documents (including PDF, DOCX, XLSX, PPTX and other supported formats) into clean, structured Markdown suitable for LLM, RAG and developer workflows. The Service is offered through a free tier and one or more paid subscription plans, as described on our Pricing page.
3. Account & credentials
You must provide accurate information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at roncagliomatteo@pec.it of any suspected unauthorized use.
4. Acceptable use
You agree not to misuse the Service. In particular, you must not:
- use the Service for any unlawful, fraudulent or deceptive purpose;
- upload or process content that infringes intellectual property, privacy or other rights of third parties;
- upload malware, viruses or any code intended to disrupt, damage or gain unauthorized access to systems;
- probe, scan, test the vulnerability of, or otherwise interfere with the security or integrity of the Service;
- scrape, crawl or harvest the Service, or use automated means to bypass usage limits or rate limiting;
- reverse engineer, decompile or attempt to extract the source code of the Service, except to the extent expressly permitted by applicable law;
- resell, sublicense or otherwise redistribute the Service or access to it without our prior written consent.
We may suspend or terminate accounts that violate these rules, and we may remove content or refuse processing of inputs we reasonably believe to be unlawful or abusive.
5. Your content (uploaded files)
You retain all ownership rights in the files you upload ("User Content"). By submitting User Content you grant us a limited, worldwide, non-exclusive, royalty-free license to host, process and convert it for the sole purpose of providing the Service to you. We do not retain uploaded files beyond what is necessary to perform the conversion and deliver the result.
You represent and warrant that you own the User Content or have all rights, licenses and consents necessary to upload it and to have it processed by the Service.
Takedown. If you believe content processed through the Service infringes your rights, send a notice to roncagliomatteo@pec.it identifying the content, the right allegedly infringed and your contact details. We will review notices promptly and may remove content, suspend processing or terminate accounts of users who repeatedly infringe.
6. Our intellectual property
The Service, including its software, design, branding, documentation and underlying technology, is and remains the exclusive property of the Seller and its licensors. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service within the limits of your chosen plan. No other rights are granted by implication.
7. Payments, billing & subscriptions
Payment, billing, taxes, currency conversion, invoicing, subscription renewals, cancellations and refunds for paid plans are handled by our payment provider Stripe. The applicable mechanics are set out in the Stripe Consumer Terms of Service and, for refunds, in our Refund Policy. Subscriptions renew automatically until cancelled.
8. Merchant of Record
Our order process is conducted by Stripe, acting as Merchant of Record on our behalf. Stripe handles payment processing, tax calculation and compliance, fraud prevention and dispute handling for our orders.
9. Service availability & warranties
The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, error-free, secure, or that conversion output will be perfectly accurate for every input. To the maximum extent permitted by applicable law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
10. Limitation of liability
To the maximum extent permitted by applicable law, our aggregate liability arising out of or relating to the Service or these Terms shall not exceed the total amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, goodwill or business opportunities, even if advised of the possibility of such damages. Nothing in these Terms limits liability for fraud, gross negligence, wilful misconduct, death or personal injury, or any other liability that cannot be limited or excluded by applicable law.
11. Indemnification
You agree to indemnify and hold the Seller harmless from any claims, damages, liabilities and reasonable costs (including legal fees) arising from: (a) your User Content; (b) your unlawful use of the Service; or (c) your breach of these Terms.
12. Suspension & termination
We may suspend or terminate your access to the Service, in whole or in part, if: (a) you materially breach these Terms; (b) you fail to pay fees when due; (c) we reasonably believe your activity poses a security, fraud or legal risk; or (d) you repeatedly or seriously violate our acceptable use rules. Where reasonable, we will give you notice and a chance to remedy. You may stop using the Service and cancel your subscription at any time. Upon termination your right to use the Service ends; we may delete any data associated with your account within a reasonable period, subject to legal retention obligations.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. The "Last updated" date above reflects the latest revision. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
14. Governing law & jurisdiction
These Terms are governed by the laws of Italy, without regard to its conflict-of-laws principles. The courts of Brescia, Italy, shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any mandatory consumer protection rights that grant you the right to bring proceedings in the courts of your country of residence.
